These Terms and Conditions ("Terms") govern your access to and use of the Orato Flow application and related services (the "Service") provided by Orato AI Limited ("Orato AI", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Description of the Service

Orato Flow is a real-time translation, transcription, and captioning platform. The Service enables users to capture, transcribe, translate, and caption audio content across multiple languages. Features and availability may vary depending on your subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Registration and Responsibilities

To use certain features of the Service, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

5. Intellectual Property

You retain all ownership rights to the audio, transcripts, translations, and other content you create or process using the Service ("Your Content"). Orato AI does not claim any ownership over Your Content.

By using the Service, you grant us a limited licence to process Your Content solely for the purpose of providing and improving the Service.

5.2 Our Intellectual Property

The Service, including its design, features, software, documentation, and branding, is owned by Orato AI and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

6. Subscriptions and Payment

Access to the Service may require a paid subscription. Subscription terms, pricing, and billing cycles are described on our pricing page or in your order confirmation. You agree to pay all applicable fees in accordance with the billing terms in effect at the time.

We may change our pricing with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Third-Party Services

The Service may be available through or integrate with third-party platforms, including Microsoft Marketplace. Your use of the Service through third-party platforms is also subject to the terms and conditions of those platforms.

We are not responsible for the practices, policies, or content of any third-party services. Any data you share with third-party integrations is governed by their respective privacy policies.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Orato AI disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Translation and transcription outputs are generated by automated systems and may contain inaccuracies. You are responsible for reviewing and verifying all outputs before relying on them for critical purposes.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Orato AI and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

You may stop using the Service at any time by cancelling your subscription and closing your account. We may suspend or terminate your access to the Service at any time if:

• You breach any provision of these Terms
• We are required to do so by law
• We decide to discontinue the Service or any part of it

Upon termination, your right to use the Service will cease immediately. Any locally stored content remains under your control. Provisions of these Terms that by their nature should survive termination will continue to apply.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
